  • VALIDITY OF GENERAL TERMS AND CONDITIONS
  • These Terms and Conditions (hereinafter referred to as 'Terms') constitute a legally binding agreement between you ('Customer' or 'you') and eSIMno, governing your use of our products, services, website (the 'Site'), and any related platforms (collectively, the 'Services'). By accessing or using any part of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Services.

    The scope of these Terms extends to various categories of users interacting with eSIMno's Services:

    • End Users: Individuals who utilize the Services for personal use through their eSIMno account.
    • Business Users: Entities that engage with eSIMno to facilitate eSIM purchases for their own customers or employees.
    • End Customers: Individuals who receive eSIM services through a Business User's account.
    • Job Applicants: Individuals who apply for employment with eSIMno.

    Throughout this document, 'Customer' refers collectively to any individual or entity using eSIMno's Services, ensuring comprehensive coverage of all user interactions and obligations.

    By clicking 'I Agree,' creating an account, purchasing or activating an eSIM, or otherwise using our Services, you confirm your acceptance of these Terms. If you are acting on behalf of a company or other legal entity, you warrant that you have the authority to bind such entity to these Terms. In such cases, 'Customer' will refer to that entity.

    All personal data submitted to eSIMno or collected by us is governed by our Privacy Policy, available at https://www.esimno.com/en/about/privacy-policy. By using our Services, you acknowledge that you have reviewed and accepted the Privacy Policy, which is incorporated by reference into these Terms.

    IMPORTANT NOTICE: These Terms include provisions that govern dispute resolution between you and eSIMno. Specifically, they contain a binding arbitration clause and a waiver of class action rights (see Section 20). Please read carefully, as this may affect your legal rights, including the right to opt out of arbitration where applicable.

  • DESCRIPTION OF SERVICES
    • USING THE SERVICES
      eSIMno is a digital eSIM marketplace that provides seamless international connectivity through eSIM technology. Our platform enables users to purchase and activate eSIM data, voice, and text packages instantly in multiple countries, eliminating the need for physical SIM cards.

      To access our Services, Customers must create an account ('Account') by providing necessary details such as name, email, and contact information. Customers agree to provide accurate and up-to-date information and to maintain the confidentiality of their account credentials. eSIMno is not responsible for any unauthorized account usage. If Customers suspect unauthorized access, they must notify eSIMno immediately.

      The individual registering an Account ('Account Owner') is responsible for compliance with these Terms. If the registration is on behalf of a company, the company is considered the Account Owner and bears full responsibility for account activities. Customer accounts are non-transferable, and any security concerns should be promptly reported to eSIMno.

    • REGISTRATION FOR USING ESIMNO SERVICES
      All users, including End Users, Business Users, and End Customers, must accept these Terms during registration. Depending on the user type, different information is required:
      • End Users: Personal details such as name and email for direct transactions on the eSIMno platform.
      • Business Users: Additional business-related information, including company details, contact persons, and industry-specific requirements.
      • End Customers: Information provided by Business Users for service fulfillment in compliance with applicable data protection laws.

      In cases where services are facilitated through third-party providers (e.g., hotels, travel agencies), those intermediaries may submit necessary registration details on behalf of the Customer.

      eSIMno reserves the right to request additional information to enhance service quality while ensuring compliance with data protection laws. Any updates regarding such information collection will be communicated through standard channels.

    • ESIMNO ENGAGEMENTS
      eSIMno strives to provide high-quality service but does not guarantee uninterrupted, error-free, or delay-free service. While we endeavor to maintain optimal connectivity, network conditions and external factors may occasionally impact service quality.
    • CUSTOMER ENGAGEMENTS
      Customers must not engage in any activity that is unlawful, fraudulent, or harmful to the network. If a Customer violates these Terms, eSIMno reserves the right to suspend their access to the Services. During any period of suspension, the Customer remains responsible for any applicable charges.
    • DEVICE COMPATIBILITY
      Customers are responsible for ensuring that their device is eSIM-compatible and network-unlocked before purchasing an eSIM. Compatibility varies by carrier and country of origin, and Customers must verify device eligibility before purchase. By confirming device compatibility at checkout, Customers acknowledge their responsibility for ensuring correct device information.

      eSIMno regularly updates the list of supported devices, but newly launched eSIM-compatible devices may take time to be added.

  • START, DURATION, AND TERMINATION OF THE CONTRACT
  • The service contract between eSIMno and the Customer begins upon completing the order on the eSIMno website, via the eSIMno app, through our APIs, or via any other platform provided by eSIMno that enables customers to place an order.

    The activation of the eSIM and acknowledgment of the Activation Policy is the Customer's responsibility.

    For End Users, the contract will be terminated if they do not have an active data package or have deleted the eSIM from their device. However, for Business Users, the termination of the contract is subject to the terms of any specific agreement signed between the Business User and eSIMno or their active status on the Partner Platform. For Business Users with such agreements or active participation, the contract remains in effect even without an active data package or if an eSIM is deleted from a device, ensuring continuity in partnership and commitments between eSIMno and the Business User.

  • CHARGES AND PAYMENT
  • Payment and any other expenses must be paid through the third-party payment processing system (the “PSP”) as indicated on the Services. Customer may be required to register with the PSP, agree to the terms of service of the PSP, provide payment details to the PSP, and go through a vetting process at the request of the PSP to set up an account with the PSP (the “PSP Services Agreement”). By accepting these Terms of Service, Customer agrees that they have downloaded or printed, reviewed, and agreed to the PSP Services Agreement. Please note that eSIMno is not a party to the PSP Services Agreement and that Customer, the PSP, and any other parties listed in the PSP Services Agreement are the parties to the PSP Services Agreement and that eSIMno has no obligations, responsibility, or liability to any user or any other party under the PSP Services Agreement.

    All prices and fees displayed on the Services are exclusive of applicable federal, provincial, state, local, or other governmental sales, goods and services, or other taxes, fees, or charges now in force or enacted in the future (“Taxes”) unless otherwise explicitly stated. Any applicable Taxes are based on the rates applicable to the billing address you provide to us and will be calculated at the time a transaction is charged to your Account.

    • PAYMENT CONDITIONS
      eSIMno offers various payment methods for its services, including but not limited to Credit/Debit Card, PayPal, Google Pay, Apple Pay, and Alipay.

      The currency of payment is in US Dollars ($) and may include various other currencies, with the currency of payment being determined during the transaction.

      The credit card transaction will be processed and secured by eSIMno-approved payment service providers, including but not limited to PayPal (https://paypal.com) and additional providers chosen by eSIMno for each transaction.

    • AUTOMATIC RENEWALS FOR END USERS
      eSIMno offers automatic renewal options to ensure continuous service without the need for manual renewal. This model is intended for End Users seeking uninterrupted service and convenience.

      Automatic Charges: Under this model, renewal fees will be charged automatically to the End User's preferred payment method when their data consumption drops below a certain threshold at the beginning of each billing cycle.

      Cancellation Policy: End Users can cancel their renewal at any time. Cancellation will take effect at the end of the current billing cycle, allowing users to continue accessing the service until the cycle concludes. To cancel, users can manage their settings directly within their eSIMno account or contact our support team for assistance.

    • INVOICING
      eSIMno implements a systematic approach to billing Business Users for the utilization of eSIMno Credits, which are used for the acquisition of eSIMs, top-ups, and other eSIMno products and services via the Partner Platform.

      Issuance of Invoices: eSIMno issues invoices to Business Users detailing the eSIMno Credits consumed for purchasing eSIM and top-up packages within a specified billing period. These invoices provide a comprehensive breakdown of charges incurred, enabling Business Users to track and manage their expenses effectively.

      Payment Obligations: Upon receipt of an invoice, Customers are required to fulfill their payment obligations within the deadlines stipulated on the invoice. Business Users must adhere to these time frames to ensure uninterrupted access to eSIMno services and maintain a positive standing within the eSIMno Partner Platform

      Consequences of Late Payment:

      • Service Suspension: If a Business User fails to settle an invoice within the specified time frame, eSIMno reserves the right to temporarily suspend services until full payment is received.
      • Interest and Damages: Additionally, eSIMno may impose interest on overdue amounts at a rate specified in the invoice or as allowed by law. Business Users may also be liable for any damages or additional costs incurred by eSIMno due to late payment, including administrative costs and legal fees associated with debt recovery

      Invoices are predominantly issued in USD. However, eSIMno reserves the right to issue invoices in other currencies as deemed necessary or as mutually agreed upon with the Business User.

    • PREPAID TRANSACTIONS FOR BUSINESS USERS
      Business Users engage in a unique transaction process on the eSIMno platform, centered around purchasing eSIMno Credits. These credits serve as the currency within the platform, enabling Business Users to procure eSIMs and top-up services tailored to their operational needs. Business Users may also choose to use credit or debit cards for purchases made on the Partner Platform.

      Purchasing eSIMno Credits: The initial step for Business Users is to acquire eSIMno Credits. This process is designed to be straightforward and flexible, offering various payment methods to suit different business requirements. These methods include, but are not limited to, credit/debit cards, bank transfers, and electronic payment solutions.

      Utilizing eSIMno Credits: Once eSIMno Credits are added to their account, Business Users can seamlessly use these credits to purchase eSIMs, top-ups, and other eSIMno products and services.

      For further details on purchasing and utilizing eSIMno Credits, or to explore the most suitable payment methods for your business, we encourage Business Users to visit the eSIMno Partner Platform or contact our dedicated support team.

    • POSTPAID TRANSACTIONS FOR BUSINESS USERS
      Postpaid transactions represent a flexible payment model tailored for Business Users, offering the convenience of receiving eSIM and top-up packages prior to payment.

      A postpaid transaction allows Business Users to receive eSIM, top-ups, and other eSIMno products and services, with the payment obligation arising at a later date. The specifics of this payment arrangement, including the due date and payment terms, are outlined in the invoice provided by eSIMno.

      Credit Limit System: To support this model, eSIMno may implement a credit limit system. This system authorizes Business Users to utilize credit for purchasing eSIMs, top-ups, and other eSIMno products and services up to a predetermined amount. The setting of these credit limits can be determined unilaterally by eSIMno or negotiated with the Business User.

      Eligibility Criteria: Not all Business Users automatically qualify for postpaid payment options. eSIMno reserves the right to select eligible customers based on various criteria, including transaction history, creditworthiness, and the duration of the business relationship with eSIMno.

      By offering postpaid transactions, eSIMno aims to provide flexibility and trust to its Business Users, allowing them to prioritize their operational requirements while managing payments in a manner that suits their financial workflows.

  • DELIVERY
  • For End Users, purchased eSIMs will be accessible under the 'My eSIMs' section of the eSIMno website and/or App. A confirmation email will be sent to you following your purchase. All necessary eSIM installation information will be exclusively available within your eSIMno account.

    Business Users will manage and deploy their eSIMs and top-up packages through the Partner Platform, designed to meet their specific business needs.

    eSIMno delivers its products and services through various methods, depending on the chosen integration and the specific products and services purchased. This may include, but is not limited to, delivery via the Site, the App, email, or through the Partner Platform.

  • REFUND/CANCELLATION/MODIFICATION POLICY
  • Customers may request a refund or eSIM replacement if they are unable to use the Services due to an error or omission by eSIMno. Refund requests must be made within thirty (14) days of purchase. However, eSIMno is not obligated to issue a refund if the issue can be resolved within ten (10) days of receiving notification from the Customer. Customers are expected to cooperate with eSIMno's troubleshooting efforts. Failure to do so may result in the denial of a refund. Each eSIM data package has its own validity period; no refunds are offered for remaining data after this period expires.
    The following conditions also apply:
    • Excluded Charges: No refunds will be issued for charges from alternate phones, SIM cards, providers, hotel phones, or any charges not directly related to the Customer's eSIMno account.
    • Fraudulent Purchases: eSIMno reserves the right to deny refunds in cases of abuse, violation of these Terms, or any fraudulent activity related to the Services.
    • Unauthorized Purchases: Customers must immediately notify eSIMno of any suspected unauthorized purchases. Refunds for unauthorized purchases are subject to investigation and approval by eSIMno. eSIMno may suspend accounts associated with fraudulent activity.
    • Accidental Purchases/Installation: Once an eSIM is installed, it is considered used, and no refunds will be offered, except as specifically provided herein.
    • Billing Disputes: Customers must notify eSIMno of any disputed charges within twelve (12) days of the charge, providing details of the discrepancy and the amount considered due (see Section 4 for more details).
    • eSIM Replacements: eSIMs purchased solely with credits earned from vouchers may be replaced within 14 days of purchase.
    • Other Refund Requests: Refund requests not covered above will be evaluated on a case-by-case basis. Approved refunds may be subject to a processing fee. The maximum refund amount cannot exceed the original purchase price.

    To request a refund, please contact our support team through the in-app or website chat. Further information, such as device settings screenshots for technical issues or details regarding billing discrepancies, may be required to process the refund request. Refunds may be issued to the original payment method or as account credit. Please allow up to thirty (30) business days for refunds to appear on your statement, depending on your bank.

    Customers who purchased eSIMno services through a reseller must contact the reseller for refund requests. eSIMno Business User refunds for direct purchases from eSIMno may be processed as account credits or credit notes for future purchases.

  • ESIMNO REWARD(SIMMONEY) PROGRAM
  • eSIMno offers a tiered rewards program to its Customers ('Rewards Program') based on their spending, providing cashback rewards for purchases. The program has five tiers:
    • Beginner: Customers with a total spend up to $750 earn a 5% reward on purchases.
    • Bronze: Customers with a total spend up to $5,000 earn a 7.5% reward on purchases.
    • Silver: Customers with a total spend up to $20,000 earn a 10% reward on purchases.
    • Gold: Customers with a total spend up to $50,000 earn a 12.5% reward on purchases.
    • Platinum: Customers with a total spend exceeding $50,000 earn a 15% reward on purchases.

    Rewards are calculated based on the net purchase amount (excluding any discounts or promotions). Rewards are credited to the Customer's eSIMno account. Customers can request a payout of their accumulated rewards once they reach a minimum balance of $100. Payouts are subject to a transfer fee, which will be borne by the Customer.

    eSIMno reserves the right to modify or terminate the Rewards Program, including the tier structure, reward percentages, and payout thresholds, at any time and without notice. eSIMno also reserves the right to withhold or revoke rewards in cases of suspected abuse, fraud, or violation of these Terms.

    Rewards are non-transferable and cannot be redeemed for cash except as expressly provided herein. Rewards have no monetary value until a payout is requested and processed.

    Customers are responsible for any applicable taxes associated with earning or receiving rewards.

    eSIMno may, at its discretion, offer promotional rewards or bonuses in addition to the standard Rewards Program. These offers may be subject to specific terms and conditions.

    The current reward balance and tier status will be displayed in the Customer's account.

    This Rewards Program is designed to incentivize Customer loyalty and provide added value to their eSIMno experience.

  • ESIM ACTIVATION AND RECYCLING
  • eSIMno utilizes an eSIM recycling process to optimize service and availability. Upon purchase, Customers must activate their eSIM within the timeframe specified in the activation instructions provided at the time of purchase. It is the Customer's responsibility to activate the eSIM within this designated period. Failure to do so may result in the eSIM's expiration.

    Expired eSIMs cannot be reactivated. If an expired eSIM is not activated within the given timeframe, the customer will need to make a new purchase. Customers are strongly encouraged to carefully review and follow the provided activation instructions to ensure a smooth and successful eSIM activation.

  • PRICES AND PROMOTIONS
  • The prices listed on eSIMno represent the cost at which our eSIM packages and related services are offered to customers. From time to time, we may introduce promotional pricing for certain eSIM packages, which will be subject to specific terms and conditions. The duration, eligibility, and any requirements of these promotions will be clearly stated during the promotional period. Once a promotion ends, standard pricing will apply unless otherwise specified. eSIMno reserves the right to modify or discontinue any promotional offers at its sole discretion without prior notice.

    Prices may differ between individual users and business users due to the nature of services, bulk purchase options, and customized solutions available for different customer categories.

    Our pricing is subject to change without prior notice. We continuously monitor market trends to ensure competitive rates while maintaining high service quality. Adjustments to pricing may occur due to factors such as fluctuations in exchange rates, operational costs, and market conditions. These changes are implemented to maintain the sustainability and efficiency of our service offerings.

    We aim to keep our users informed of significant pricing changes whenever possible, allowing them to make well-informed purchasing decisions. However, due to the dynamic nature of the industry, immediate notification of price adjustments may not always be feasible.

    For Individual Users: The prices displayed on our website apply specifically to individual users. We recommend regularly checking our website for the latest pricing and promotional updates.

    For Business Users: Business users can access relevant pricing details through our designated platforms. Custom pricing structures tailored to business needs may be available. For further details, business customers are encouraged to contact our support team directly.

    To enhance user experience, eSIMno may introduce special promotions such as free or discounted eSIMs under specific conditions. Any such offers are subject to the following general terms:

    • Free or discounted eSIM promotions are typically available only to first-time users or those who have not yet made a purchase on our platform.
    • Users are limited to a single free eSIM per account and device. Registering multiple accounts to obtain additional free eSIMs is strictly prohibited.
    • Promotional eSIMs cannot be exchanged for cash or transferred to another user.
    • Referral codes and additional discounts may not be applied when redeeming a free eSIM.
    • Users who have previously received free eSIMs under different promotional campaigns may still qualify for new offers if they meet the stated eligibility criteria.
    • eSIMno reserves the right to cancel any promotional eSIMs obtained through fraudulent activities and may take further action against accounts engaged in such behavior.
    • We reserve the right to modify or terminate any promotional campaigns, including the eligibility criteria and terms, without prior notice.

    Our goal is to provide fair and transparent pricing while offering valuable promotions that enhance user experience. For the most up-to-date information on prices and ongoing promotions, please visit our website or contact our customer support team.

  • USER LOCATION TRACKING
  • eSIMno may collect and process users' geographical location data, including GPS coordinates, IP address, Wi-Fi access points, and cell tower details, to optimize service delivery and enhance user experience. By using eSIMno services, users acknowledge and consent to this tracking for purposes such as providing location-specific services, improving connectivity, and tailoring user experiences.

    Location information may be shared with trusted third-party service providers, who are required to handle this data in compliance with applicable privacy laws and regulations. Users have the ability to manage location tracking permissions through their device settings; however, restricting location access may impact certain features and service functionalities.

    eSIMno implements stringent security measures to safeguard collected location data and retains such data only for the duration necessary to fulfill the stated purposes. All data handling practices comply with relevant data protection laws.

    This section may be updated to reflect evolving business practices or legal requirements. Users with questions or concerns regarding location tracking may contact eSIMno Customer Support for further clarification.

  • COMPLIANCE WITH LOCAL LAWS
  • When using eSIMno services in any country, users must adhere to the local laws and regulations related to mobile connectivity, including potential registration requirements and telecommunications usage rules. Regulations may vary by country, and it is the user’s responsibility to ensure compliance with any applicable legal requirements.

    In certain regions, eSIMno may be obligated to take specific measures to comply with local laws, such as verifying user information or cooperating with relevant authorities. By using our services, you acknowledge and agree that your personal data may be processed for regulatory purposes, in line with applicable data protection laws.

    Since legal requirements can change, users should stay informed about any local restrictions that may affect their ability to use eSIM services. Non-compliance with local laws may lead to service limitations, for which eSIMno holds no responsibility.

  • REPRESENTATIONS AND WARRANTIES
  • By using eSIMno's services, the Customer represents and warrants that:
    (i) They are at least 18 years old or meet the legal age requirement in their country of residence and have the legal capacity to enter into a binding agreement.
    (ii) They have the authority to enter into this agreement and fully comply with its terms. If acting on behalf of a business or organization, they confirm they have the necessary authorization to bind that entity to this agreement.

    The Customer further confirms that:
    (i) They have read, understood, and agreed to abide by eSIMno’s Terms of Service and Privacy Policy.
    (ii) They will use eSIMno’s services in accordance with applicable local, national, and international laws and will act in good faith.

    Customers are strictly prohibited from engaging in activities such as:

    • Copying, distributing, or disclosing any part of the services in ways not permitted by these terms.
    • Using automated systems (bots, scrapers, crawlers) to access the services.
    • Sending spam, phishing attempts, or other fraudulent communications.
    • Attempting to compromise the security, integrity, or functionality of eSIMno’s systems.
    • Violating intellectual property rights of eSIMno or any third party.
    • Misrepresenting their identity, engaging in fraudulent activities, or impersonating another person.
    • Uploading or transmitting harmful software, including viruses or malicious code.
    • Bypassing security measures or attempting to gain unauthorized access to accounts or data.
    • Using the services in a way that infringes on the rights of others or violates any applicable regulations

    The Customer also affirms that they are not using eSIMno’s services for investigative, journalistic, or unlawful purposes without prior disclosure. Any such intentions must be communicated to eSIMno in writing before registration or as they arise.

    By installing and using eSIMno’s mobile pplication, the Customer consents to updates, which may:

    • Enable automatic communication with eSIMno’s servers for functionality and analytics.
    • Modify app settings and preferences on their device.
    • Collect personal data, including location information, in line with the Privacy Policy.

    The Customer retains the right to uninstall the app at any time.

  • TERMINATION AND SUSPENSION
  • Unless otherwise agreed in writing, either eSIMno or the Customer may terminate this agreement at any time, with or without cause. The Customer may delete their account by using available account settings (if applicable) or by submitting a written request to customer support. Once the account is deleted, access to all profile details, account-related data, and service history will be permanently lost.

    Certain provisions of these Terms, including disclaimers, limitations of liability, and indemnifications, will survive termination and continue to apply indefinitely.

    eSIMno reserves the right to refuse service to any individual or entity at any time for any reason. If a Customer is found to be in violation of these Terms or under investigation for potential breaches, eSIMno may suspend or terminate their account with prior notice via email or written communication. This termination or restriction will take immediate effect upon notification.

    If an account is terminated or restricted for violating these Terms, the Customer is prohibited from creating a new account under their own name, a false identity, or on behalf of a third party.

    Even after an account is terminated, the Customer remains bound by applicable provisions of this Agreement. eSIMno reserves the right to take legal action where necessary.

    Additionally, eSIMno may modify, suspend, or permanently discontinue any portion of its services at its sole discretion without liability to the Customer. eSIMno may also prevent a user from registering if it deems such action necessary to maintain the integrity and security of its platform.

    Upon account termination or cancellation, eSIMno reserves the right to delete all associated user data as part of its normal operational processes. Once deleted, this data cannot be recovered.

  • LINKS TO THIRD-PARTY WEBSITES
  • eSIMno services may contain links to third-party websites for informational and convenience purposes. These links do not imply any endorsement, partnership, or responsibility on eSIMno’s part regarding the content, services, or policies of such websites. eSIMno does not control or guarantee the accuracy, availability, or security of these third-party sites and is not liable for any issues that may arise from accessing them. Customers are responsible for evaluating the reliability and relevance of information obtained from external sources.

    The terms of use and privacy policies of third-party websites govern their usage, and customers access these sites at their own risk. eSIMno disclaims any liability related to the use or viewing of third-party links on its platform.

    Additionally, as part of eSIMno’s service functionality, customers may choose to link their eSIMno account with external online accounts (such as social media platforms or third-party service providers). By linking these accounts, customers authorize eSIMno to access, store, or retrieve relevant information as permitted by the terms of the respective third-party service. Customers acknowledge that they are solely responsible for their agreements with third-party platforms and that eSIMno is not liable for any content retrieved from or shared with these services.

    If a linked third-party service becomes unavailable or eSIMno’s access is revoked, certain connected functionalities may no longer be accessible. Customers can disable third-party account connections at any time through account settings. eSIMno does not review, verify, or take responsibility for content retrieved from third-party services. Customers agree that their relationship with external service providers is governed solely by their agreements with those providers.

  • INTELLECTUAL PROPERTY RIGHTS
  • All text, graphics, data, designs, software, images, trademarks, logos, and other content (“Proprietary Material”) available through eSIMno’s services are owned by eSIMno or its licensors and are protected under applicable intellectual property laws. Customers may not copy, download, modify, or use any Proprietary Material without explicit written permission from eSIMno.

    eSIMno’s trademarks, logos, and branding elements are the exclusive property of eSIMno. Any other trademarks displayed on the platform belong to their respective owners, and customers are not permitted to use them without prior authorization.

    Customers may provide feedback, suggestions, or ideas about eSIMno’s services (“Feedback”). By submitting Feedback, customers acknowledge that eSIMno has the right to use, disclose, or implement such Feedback without any obligation to compensate the customer. All submitted emails and communications become the exclusive property of eSIMno.

    Customers are granted a limited, non-exclusive, and non-transferable license to use eSIMno’s services under the terms of this agreement. This license does not grant any ownership or rights beyond what is explicitly permitted. eSIMno reserves the right to revoke this license at any time.

    Unauthorized use of eSIMno’s intellectual property, including modification, distribution, or reproduction of content, is strictly prohibited. Any violation of applicable guidelines or license agreements may result in account termination.

  • COPYRIGHT COMPLAINTS AND COPYRIGHT AGENT
  • eSIMno respects the intellectual property rights of others and expects users to do the same. If a customer believes, in good faith, that any content available through eSIMno’s services infringes upon their copyright or other intellectual property rights, they may submit a complaint by providing the following details to eSIMno’s Copyright Agent at [email protected]:
    • A description of the copyrighted work that is allegedly infringed, including the specific URL or location where the infringing material is found and an explanation of why the customer believes an infringement has occurred.
    • A description of the location of the original or authorized copyrighted work (e.g., a URL or book title where it is published).
    • The customer’s contact details, including address, phone number, and email address.
    • A statement affirming that the customer has a good faith belief that the disputed use is not authorized by the copyright owner, their agent, or the law.
    • A statement made under penalty of perjury confirming that the information provided is accurate and that the customer is the copyright owner or authorized to act on their behalf
    • An electronic or physical signature of the copyright owner or their authorized representative.

    eSIMno will review all copyright complaints and take appropriate action in accordance with applicable laws.

  • CONFIDENTIAL INFORMATION
  • The customer acknowledges that Confidential Information (as defined below) is a valuable and proprietary asset of eSIMno. The customer agrees not to disclose, transfer, or use (nor attempt to induce others to disclose, transfer, or use) any Confidential Information for any purpose other than utilizing the services in accordance with these Terms of Service. If applicable, the customer may share Confidential Information with authorized employees or agents, provided that they are also bound by confidentiality obligations. The customer must promptly notify eSIMno in writing of any suspected unauthorized disclosure, transfer, or use of Confidential Information and must take all reasonable measures to protect it. Upon termination of this agreement for any reason, the customer must return or destroy all copies of materials containing Confidential Information.

    Definition of Confidential Information:
    Confidential Information includes all trade secrets, proprietary data, and any other non-public information related to eSIMno that may provide competitive or economic value. This includes, but is not limited to, technical data, know-how, research, product plans, services, customer details, market strategies, software, inventions, processes, formulas, designs, engineering details, marketing and financial information, strategic business plans, and any other proprietary information about eSIMno’s operations, employees, users, or partners. Confidential Information may be communicated in writing, orally, visually, or through any other means.

  • DISCLAIMER OF WARRANTIES
  • The services are provided on an 'as is' and 'as available' basis without any warranties, express or implied. This includes, but is not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement. eSIMno makes no guarantees regarding the accuracy, reliability, or completeness of any content provided through the services or any third-party sites linked to the services. eSIMno assumes no liability for:
    • Any errors, inaccuracies, or mistakes in the content.
    • Any personal injury or property damage resulting from the customer’s access to or use of the services.
    • Any unauthorized access to eSIMno’s servers, including any personal or financial information stored therein.
    • Any events beyond eSIMno’s reasonable control.

    Limitation of Liability
    eSIMno, its affiliates, and partners shall not be liable for any direct, indirect, incidental, consequential, economic, or special damages. This includes, but is not limited to, lost profits, data loss, reputational harm, service interruptions, system failures, and costs of alternative services—even if eSIMno has been advised of such possibilities.

    Some jurisdictions do not allow the exclusion of incidental or consequential damages, so the above limitations may not fully apply in all cases.

    Maximum Liability Cap
    If eSIMno is found liable despite the above disclaimers, the maximum aggregate liability shall not exceed the lower of:

    • The total fees paid by the customer to eSIMno in the six months prior to the claim.
    • One hundred dollars ($100).

    These limitations apply to the fullest extent permitted by applicable law.

  • INDEMNIFICATION
  • The customer agrees to indemnify, defend, and hold harmless eSIMno, along with its officers, directors, employees, agents, attorneys, insurers, successors, and assigns ('Indemnified Parties'), from any and all liabilities, damages, losses, claims, or expenses (including legal fees) incurred in connection with:
    • The customer's use or inability to use the services.
    • The customer's breach of this agreement.
    • The customer's violation of any law or the rights of another user or third party.
    • Any content submitted by the customer or via the customer's account that may infringe intellectual property rights or be otherwise illegal or unlawful.

    Additionally, the customer agrees to indemnify eSIMno for any liabilities arising from the use of bots, crawlers, spiders, or any automated tools that impose an excessive burden on eSIMno’s infrastructure.eSIMno reserves the right to assume full control of its legal defense at its own expense for any indemnifiable claim. The customer may not settle any such claim without eSIMno’s prior written consent.

  • DISPUTE RESOLUTION – ARBITRATION & CLASS ACTION WAIVER
  • PLEASE READ THIS SECTION CAREFULLY – IT AFFECTS CUSTOMER’S LEGAL RIGHTS AND GOVERNS HOW CUSTOMER AND eSIMno CAN BRING CLAIMS AGAINST EACH OTHER.

    This section requires binding arbitration for most disputes and waives the right to class action lawsuits.

    Initial Dispute Resolution
    If a dispute arises related to the customer’s use of the services, the customer must first contact eSIMno at [email protected] and attempt to resolve the matter in good faith. If the issue remains unresolved for 30 days, it will be considered a 'Dispute' under this section. If the customer files a legal or arbitration claim without first attempting mediation, they will not be entitled to recover attorneys' fees, even if otherwise allowed.

    Binding Arbitration

    • Any dispute, claim, or controversy (“Dispute”) between the customer and eSIMno will be settled by binding arbitration.
    • Each party retains the right to seek injunctive relief in court for matters involving intellectual property rights (e.g., copyrights, trademarks, patents).
    • Both parties waive the right to a jury trial.
    • The customer may file a claim in small claims court if eligible, but only on an individual, non-class basis.

    Class Action Waiver

    • Disputes must be resolved individually—no class actions, consolidated claims, or representative proceedings are allowed.
    • The arbitrator cannot consolidate claims or oversee any form of class action.

    Arbitration Process

    • A party initiating arbitration must provide the other with a written Demand for Arbitration under AAA rules.
    • The arbitrator will be a retired judge or licensed attorney selected from AAA’s roster.
    • If no agreement on an arbitrator is reached within 7 days, AAA will appoint one.

    Arbitration Location & Procedure

    • The seat of arbitration will determine the eSIMno, unless otherwise agreed.
    • If the claim is under $10,000 USD, arbitration will be conducted via submitted documents, unless a hearing is requested and deemed necessary.
    • For claims above $10,000 USD, hearings may be held in person, by phone, or via video conference, subject to AAA rules.

    Arbitrator’s Decision & Governing Law

    • The arbitrator will apply Istanbul law consistent with the Federal Arbitration Act.
    • The decision will be issued within the timeframe specified by AAA rules.
    • The award must align with the Disclaimers & Limitations of Liability section.
    • The arbitrator may only grant injunctive relief necessary for the individual claimant.

  • GOVERNING LAW
  • Except as set forth in Section 20 or as otherwise expressly agreed in writing, this Agreement and Customer's use of the Services shall be governed by and construed in accordance with the Turkish Commercial Law, without regard to its conflict of law principles.

    This provision merely establishes that the laws of the Turkish Commercial Code will be used to interpret this Agreement and does not affect dispute resolution procedures.

  • NO AGENCY; NO EMPLOYMENT
  • No agency, partnership, joint venture, employer-employee, or franchiser-franchisee relationship is created or intended by this Agreement.

  • GENERAL PROVISIONS
  • These Terms are written in English. While translations may be provided for convenience, the English version is the legally binding version. In the event of any discrepancy or conflict between the English version and a translated version, the English version shall prevail. The English version will be used in all legal proceedings.

    If any provision of these Terms is found to be invalid, unenforceable, or non-binding, the remaining provisions will continue to be in full force and effect. The invalid provision will be enforced to the fullest extent permitted by law, and both parties agree to strive for a similar effect as the invalid provision, considering the intent and purpose of these Terms.

    You may not assign or transfer this Agreement without our prior written consent. We may assign or transfer this Agreement without your consent, including, but not limited to, assignments: (1) to a parent or subsidiary; (2) to an acquirer of assets; or (3) to any successor or acquirer. Any assignment violating this section is null and void. This Agreement benefits eSIMno, its successors, and assigns.

  • CHANGES TO THIS AGREEMENT AND THE SERVICES
  • eSIMno reserves the right, at its sole discretion, to modify, update, add to, supplement, suspend, discontinue, or remove any part of this Agreement (including these Terms and the Privacy Policy), and to review, improve, modify, or discontinue the Services, or any content or information provided through the Services, at any time, with or without notice, and without any liability to you. While we may attempt to notify you of significant changes via email, we are not obligated to do so.

    If you find any future changes to this Agreement unacceptable or if they cause you to no longer comply with this Agreement, you must terminate your use of the Services immediately. Your continued use of the Services after any changes to this Agreement constitutes your full and irrevocable acceptance of those changes. eSIMno may also set limits on certain features or restrict your access to all or part of the Services without notice or liability.

  • NO THIRD-PARTY RIGHTS
  • This Agreement does not create any rights enforceable by any party other than the parties to this Agreement.
  • NOTICES AND CONSENT TO RECEIVE NOTICES ELECTONICALLY
  • You consent to receive all agreements, notices, disclosures, and other communications (collectively, 'Notices') related to this Agreement electronically, including, but not limited to, via email or by posting Notices on the Site. You agree that all Notices provided electronically satisfy any legal requirement that such communications be in writing. Unless otherwise stated in this Agreement, all notices must be in writing and are considered duly given when received if delivered personally or sent by certified or registered mail (return receipt requested); when receipt is electronically confirmed if sent by facsimile or email; or the next day if sent by a recognized overnight delivery service.
